  • Job Description

    Your role is crucial in providing expert company secretarial support to clients. You will be responsible and accountable to scope of work assigned to you, ensuring compliance with regulatory requirements and provide high-quality service that aligns with standards set forth by the Singapore Companies Act 1967. 

  • Responsibilities
    • Client Relationship Management
      • Build and maintain strong relationships with clients as the primary point of contact for secretarial matters, primarily pertaining to ACRA.
      • Understand clients’ business needs and provide strategic advice on corporate governance matters. 
      • Ensure timely responses to inquiries and resolving issues effectively to enhance client satisfaction. 
    • Company Secretarial Services:
      • Assist Manager in the full spectrum of company secretarial duties, including the conduct of risk assessment of prospective clients, preparation of board resolutions, minutes, and statutory documents.
      • Singapore Team: Assist the team with lodgement on ACRA and stamp duty filing on IRAS.
      • Ensure compliance with relevant laws, regulations, and best practices regarding corporate governance under Singapore Companies Act 1967 and other relevant guidelines. 
    • Statutory Compliance:
      • Monitor and manage statutory deadlines for filing annual returns, financial statements, and other required documents. 
      • To ensure that information lodge with ACRA/IRAS is correct and accurate.
    • Board and Shareholder Meetings:
      • Coordinate and organize board and shareholder meetings. 
      • Prepare meeting agendas, minutes, and resolutions in compliance with Company Act standards. 
    • Documentation and Record Keeping:
      • Maintain accurate and up-to-date statutory records for clients. 
      • Organize and manage documentation related to clients’ corporate affairs. 
    • Advisory Services:
      • Provide professional advice on corporate governance, compliance, and regulatory matters to clients in accordance with Singapore Companies Act 1967.
      • Stay updated on regulatory changes and industry trends, providing clients with timely guidance and insights for compliance and adaptation.
    • Conflict Resolution: 
      • Address and resolve any conflicts or issues that may arise with clients. 
      • Escalate matters to reporting manager when necessary. 
    • Continuous Improvement: 
      • Contribute to the improvement of internal processes and client service delivery. 
      • Stay updated on professional development opportunities. 
    • Administration
      • Administrative task as and when assigned. 
  • Requirements
    • Diploma/ Degree in Business, Law, or related field.
    • Relevant professional qualifications in company secretarial practice (ICSA/ ICA/ AIA/CPA) are a plus.
    • Minimum 2 years of experience in handling Singapore company secretarial functions. Fresh graduates are welcomed to apply.
    • Singapore Team: Familiarity with ACRA filing requirements and procedures.
    • Strong knowledge of Singapore company law and corporate governance principles.
    • Attention to detail and accuracy in record-keeping.
    • Effective communication and interpersonal skills.
    • Proficient in Microsoft Office Suite.
    • Familiarity with company secretarial software is an advantage.
    • Ability to anticipate company secretarial needs and take proactive measures.
    • Willingness to stay updated on changes in regulations and best practices.
