LETT TERMS AND CONDITIONS OF SERVICE

BY ACCESSING OR USING ANY LETT SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS, OUR PRIVACY POLICY, AND PAYMENT TERMS. IT IS YOUR RESPONSIBILITY TO ENSURE THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS AND ANY ASSOCIATED RISKS AND OBLIGATIONS.

  1. Definitions

1.1 "You" or "User" includes:

  • Any individual, company, or entity engaging Lett’s services.
  • Any representative, director, shareholder, or officer acting on behalf of such a company or entity.

1.2 "Lett Services" refers to any corporate, compliance, administrative, or related business services offered by Lett.

1.3 "Agreement" refers to these Terms and Conditions, along with any other documents or supplemental agreements provided by Lett.

1.4 "Lett Associates" refers to Lett’s affiliated entities, subsidiaries, employees, officers, partners, consultants, subcontractors, and other agents engaged by Lett in providing services.

  1. Scope of Services

2.1 Lett provides a range of professional services, including but not limited to:

  • Company incorporation and registration
  • Corporate secretarial and compliance services
  • Bookkeeping, accounting, and financial reporting
  • Tax computation and filing
  • Payroll and HR-related services
  • Registered address and mailroom services
  • Nominee directorship services
  • Work pass applications and renewals

2.2 Lett services may involve the use of secure technology and tools to streamline service delivery.

2.3 Lett does not provide legal advice or act as a law firm. Users are encouraged to seek independent legal counsel when necessary.

2.4 Specific services may require supplemental agreements, and Lett reserves the right to decline services if such agreements are not executed.

  1. General Obligations

3.1 User Obligations:

By using Lett’s services, You agree to:

  • Provide complete and accurate information and documents required for service delivery and compliance with applicable laws.
  • Ensure timely payment of all service fees and additional charges.
  • Comply with all legal and regulatory requirements associated with Your business operations.

3.2 Lett’s Obligations:

Lett will:

  • Perform the agreed services with professional care and diligence.
  • Lett, its associates, and subcontractors will use reasonable endeavors, acting in a commercially prudent manner, to carry out the services within a reasonable timeframe. Any timelines or estimates provided are for planning purposes only and are subject to change. Lett will notify the Client promptly if any delays are expected that may materially affect the completion of the services.
  • The services provided are not binding on governmental or regulatory authorities and do not constitute a representation, warranty, or guarantee that any regulatory authorities will concur with any advice provided. Any service rendered by Lett will be based upon the applicable law and regulations at the time of delivery. Subsequent changes in or to the foregoing (for which Lett shall have no responsibility to advise the Client) may result in the services being rendered invalid.
  1. Fees and Payment Terms

4.1 All fees for Lett services must be paid in advance or as specified in the invoice or agreement.

4.2 Fees are non-refundable unless explicitly stated in these terms or in cases of proven negligence or material breach by Lett.

4.3 Lett reserves the right to suspend or terminate services for non-payment and may charge late payment interest at a rate of 15% per annum for overdue amounts.

4.4 Users are responsible for any additional fees arising from regulatory filings, penalties, or third-party charges.

  1. Fee Revision for Accounting and Tax Services

5.1 Annual Fee Review:

  • All accounting and tax services offered to companies in their first year of onboarding are subject to fee revision upon renewal.
  • The revision will be based on actual business complexity, transaction volume, and changes in compliance requirements.

5.2 Transaction Volume Adjustments:

  • If the actual accounting or tax transaction volume exceeds the preliminary assessment made at the start of engagement, Lett reserves the right to revise service fees accordingly.
  • Clients will be notified in advance of any fee adjustments and will have the option to accept the revision or terminate the service before renewal.

5.3 Additional Work Beyond Scope:

  • Any additional work beyond the agreed scope at the commencement of service, including additional financial reporting, special tax filings, or transaction corrections, may be subject to additional charges.
  • Lett will provide an estimate of such charges before proceeding with the work.
  1. Personal Data Protection

6.1 Privacy Notice and Policy:

Lett’s privacy notice and privacy policy are available on the website www.lettcorp.com("Website"), the terms of which apply to this engagement.

6.2 Consent to Processing:

The Client acknowledges that it has read and understood the privacy notice and consents to Lett processing and using the Client’s personal data.

6.3 Third-Party Data:

To the extent that the Client has provided (or will provide) personal data of other individuals to Lett, the Client represents and warrants that it has obtained (or will obtain) their consent for the processing and use of their personal data in accordance with the privacy notice.

  1. Termination of Services

7.1 Either party may terminate services with 30 days’ written notice.

7.2 Lett reserves the right to immediately terminate services if:

  • You breach these terms or any applicable laws.
  • You fail to meet compliance or payment obligations.

7.3 Upon termination, You will have 60 days to retrieve any records stored by Lett. After this period, Lett reserves the right to archive or delete such records.

  1. Limitation of Warranties

8.1 Lett warrants that it shall perform the services in good faith and with reasonable skill and care and in accordance with generally accepted professional standards.

8.2 The express warranties, representations, and obligations of Lett in this contract are made expressly in place of and to the exclusion (to the fullest extent permitted by law) of all other representations, warranties, terms, and conditions, express or implied, statutory or otherwise, relating to anything supplied or to be supplied and any service provided or to be provided by or on behalf of Lett under or in connection with this contract and the services.

  1. Limitation on Actions

9.1 No action, regardless of form, relating to this contract or the services, may be brought by either party more than one year after the cause of action has accrued under applicable law.

9.2 This limitation does not apply to actions for non-payment of professional fees and expenses, which may be brought at any time after the expiration of the one-year period.

  1. Indemnity

You agree to indemnify, defend, and hold harmless Lett, its associates, affiliates, employees, officers, directors, partners, consultants, subcontractors, and agents from and against any and all claims, damages, liabilities, losses, costs, or expenses (including, but not limited to, legal fees and disbursements) arising out of or related to:

  • Your breach of these Terms and Conditions or any applicable laws and regulations.
  • Your use or misuse of Lett’s services, including any unauthorized or improper reliance on the advice or services provided.
  • Any misrepresentation, omission, or inaccurate information provided by You or on Your behalf.
  • Any claim made by a third party against Lett as a result of Lett acting in accordance with Your instructions or failing to act due to Your failure to provide required information, documents, or approvals.
  1. Quality of Services

11.1 If at any time You believe that the services provided by Lett could be improved, or if You are dissatisfied with any aspect of the services, You may submit feedback or complaints via email to:feedback@lettcorp.com

11.2 Lett will investigate all matters brought to its attention in a timely manner and will contact You to discuss and attempt to resolve the matter.

  1. Governing Law and Dispute Resolution

12.1 These terms are governed by the laws of Singapore.

12.2 Any disputes will be resolved first through informal negotiation. If unresolved, disputes will be subject to the exclusive jurisdiction of the courts in Singapore.

  1. Modifications to Terms and Conditions

Lett reserves the right to amend, update, or modify these Terms and Conditions by providing no less than 30 days’ written notice. The latest version of these Terms and Conditions shall be made available on Lett’s official website (www.lettcorp.com). It is the User’s responsibility to review and stay updated on any modifications.

  1. Acknowledgment and Acceptance

By engaging Lett’s services or proceeding with payment, You confirm that You have read, understood, and agreed to these Terms and Conditions, including:

The limitation of liability clauses.

  • The fee revision terms for accounting and tax services.
  • The service validity disclaimers regarding regulatory acceptance.
  • The limitation of warranties disclaiming all implied guarantees beyond what is expressly stated.
  • The quality assurance and dispute resolution process.
